The more clearly we can understand YOUR preferences in a prospective buyer, the more effectively we can begin our matching process.

We begin by connecting on a call to fully understand your needs in a buyer:

  • Type of Buyer - Strategic, Financial, Private Equity, Family Office, Etc.

  • Deal Structure - The percentage of equity you are seeking to sell, earn-out vs full buyout, cash vs debt, Etc.

  • Employee Continuity - Retention plans, management roles, and benefits preservation.

  • Valuation Expectations - Target EBITDA multiple range, treatment of working capital, and potential earnout structures.

  • Timing - Reason for selling the business, and expectations on the timing of the close.

These points enable us to optimize our matching process and connect you with the buyer that will meet your needs.


2. Prospective Buyer Matching

Using your preferences, Vermilion Rock is able to analyze our database of Vetted, Qualified, and Capital Backed Buyers.

Engaging with Vermilion Rock provides access to our network of over 500 active buyers, including middle-market private equity firms, strategic acquirers, and family offices actively seeking acquisition opportunities.

3. Introductions, Due Diligence, and LOI

With a shortlist in hand, our Managing Partners will work closely with you to establish introductions with these qualified buyers.

Connecting with you through the introductory phase, financial submissions, valutaiton expectations, and initial evaluations, we will target a LOI with the buyer you deem fit.

A typical deal process goes as follows:

  • Defining Objectives (1 Month) - Clarifying personal goals & setting transaction objectives

  • Initial Meetings & NDA (1 Month) - Engage with potential buyers to understand their goals and objectives. Establish an NDA to protect and share business sensitive information.

  • Due Diligence & LOI Negotiation (1 - 3 Months) - After preliminary Due Diligence through financial review, the buyer will then submit a LOI (Letter of Intent) outlining key deal terms. If you choose to sign, an exclusivity period will begin.

  • Due Diligence & Closing (3 - 9 Months) - Finalize due diligence, prepare for closing, and sign the purchase agreement to transfer ownership to the buyer.
